Regulators’ increased focus on whistle-blower protections and scrutiny of non-disclosure clauses in firms’ separation agreements have companies scurrying to revisit their exit contracts, says Osipoff.
“A separation agreement must address the SEC’s current enforcement position,” she says. In this environment, that means such documents should not contain language that the SEC or other federal regulators believe would muzzle employees, or otherwise deter them from speaking with government agents or receiving whistle-blower awards.
